Who we are

These Terms of Service (“Terms”) govern your access to and use of clockdrawingtest.com, app.clockdrawingtest.com, and any related services (together, the “Services”) offered by Coadia, Inc., a Delaware corporation doing business as Tokei Health.

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Medical disclaimer

The Services are not a substitute for professional medical advice, diagnosis, or treatment. The clock drawing test is a screening tool intended to help surface potential concerns for further evaluation. It does not diagnose dementia, Alzheimer’s disease, or any other medical condition, and the results do not constitute a medical opinion.

Always seek the advice of a licensed clinician with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of information you have read on the Services.

If you think you or someone you know is experiencing a medical emergency, call your local emergency number immediately.

The Services

The Services include a free online clock drawing test and educational resources related to cognitive health and dementia screening. We may update, suspend, or discontinue parts of the Services at any time.

You are responsible for any equipment and internet connection needed to access the Services.

Using the Services

You agree that you will not:

• Use the Services in violation of any applicable law or regulation.
• Attempt to probe, scan, or test the vulnerability of the Services, or to circumvent any security measure.
• Interfere with or disrupt the Services, including by introducing malicious code or overwhelming our infrastructure.
• Use automated means (bots, scrapers, or similar) to access the Services, except as permitted by our robots.txt.
• Submit content that is unlawful, defamatory, discriminatory, or infringes another person’s rights.
• Impersonate another person or misrepresent your affiliation with any person or entity.

Your submissions

When you submit a drawing, email address, or other content through the Services, you retain ownership of that content. You grant Coadia, Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the content solely to provide and improve the Services and for the de-identified, aggregate purposes described in our Privacy Policy.

You represent that you have the right to submit the content and that it does not violate any third-party rights.

Intellectual property

Except for your submissions, all content on the Services — including text, graphics, logos, icons, images, and software — is the property of Coadia, Inc. or its licensors and is protected by copyright, trademark, and other laws. “Tokei Health” is a trademark of Coadia, Inc..

The clock drawing test itself is a public-domain neuropsychological screening tool. Our software implementation, scoring algorithms, and editorial content are ours.

Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Coadia, Inc. DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR MEDICALLY ACCURATE IN ANY INDIVIDUAL CASE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Coadia, Inc. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

Indemnification

You agree to indemnify and hold harmless Coadia, Inc. and its officers, directors, employees, and agents from any claim, loss, or expense (including reasonable attorneys’ fees) arising out of your use of the Services, your submissions, or your violation of these Terms.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Services at any time. Provisions that by their nature should survive termination — including disclaimers, limitation of liability, and indemnification — will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email or through the Services. Continued use of the Services after a change means you accept the updated Terms.
